Full rankingHow to read a reverse split
A reverse split starts as a proposal, usually in a proxy statement or an announcement. It then needs a shareholder vote or a board approval, gets an effective date, and takes effect: the stock trades on the new, split-adjusted basis. SplitScanner shows the stage and, with the plan, the approval route and the board authority behind it.
Many reverse splits follow an exchange deficiency notice. Each ticker page lists the notices we found in 8-K Item 3.01 filings, with the rule cited and the estimated end of the compliance period. A list with nothing on it means we found nothing, not that the company is in compliance.
Read the methodology for sources, what we withhold when evidence is missing, and the limits.
Questions
- What is a reverse stock split?
- A reverse stock split merges a company's shares into fewer, higher-priced shares. In a 1-for-10 reverse split, every 10 shares become 1, and the price per share is about 10 times higher right after, so the company's total value does not change by the split itself.
- Why do companies reverse split?
- The most common stated reason is to meet an exchange minimum bid price. Nasdaq, for example, requires a minimum bid of $1.00 and gives a company a compliance period after a deficiency notice. Other reasons include preparing for an offering or a merger. A filing states the reason; the split itself does not prove one.
- How do I find out when a reverse split takes effect?
- The effective date is in the company's filing or press release and in the exchange notice. SplitScanner lists the ratio and date for every split it finds, with the source document, and marks a date as conditional or not stated when the filing does not give one outright.
- Is a scheduled reverse split certain to happen?
- No. A split can be postponed, fail a shareholder vote or be withdrawn. SplitScanner says scheduled, never confirmed, and keeps postponed, failed and abandoned splits in its history.
